1. Definitions

2. Acceptance and Eligibility

2.1 By creating an account or using the Platform, you accept these Terms in full. If you do not agree, do not use the Platform.

2.2 You must be at least 13 years old to use AIQuity Life. Users between 13 and 18 must have verifiable parental or guardian consent. We may require proof of age or consent at any time.

2.3 If you are accepting these Terms on behalf of an organization (school, employer, institution), you represent that you have authority to bind that organization.

3. The Service

3.1 What We Provide. AIQuity Life is an AI-powered learning platform. The core service includes:

• Interactive Learning Paths — structured curricula spanning multiple tracks (technology, reasoning, professional skills) with adaptive sequencing.
• Playgrounds — browser-based interactive environments where you manipulate concepts through drag-and-drop, simulations, and visual exercises rather than reading static text.
• Micro-Loop Engine — each concept is taught through a six-stage cycle: Hook → Intuition → Attempt → Feedback → Explanation → Stress Test. The Platform automatically sequences you through these stages.
• Juggernaut AI Companion — a context-aware AI that provides personalised explanations, hints, Socratic questioning, and adaptive difficulty adjustment. Juggernaut does not give direct answers; it guides you toward understanding.
• Progress Analytics — real-time tracking of mastery levels, time investment, strength/weakness maps, and learning velocity.
• Practice & Assessment — spaced repetition, targeted exercises, and challenge modes that adapt to your demonstrated skill level.
• Creator Tools (Chakras) — for qualifying users, tools to build apps, agents, workflows, and content within the platform ecosystem.

3.2 What We Do Not Provide. The Platform does not provide: accredited academic degrees or certifications recognised by educational boards; professional advice (legal, medical, financial, therapeutic); guaranteed employment outcomes; or replacement for formal education.

3.3 AI Limitations. Juggernaut is an AI system. It can produce incorrect, incomplete, or misleading explanations. You should not rely on AI-generated content as an authoritative source. We continuously improve accuracy but cannot guarantee correctness of any individual AI output.

3.4 Beta Features. We may offer features labelled "Beta", "Preview", or "Experimental." These are provided as-is with no guarantees of stability, continuity, or data preservation. We may modify or remove beta features without notice.

3.5 Service Modifications. We reserve the right to modify, update, replace, or discontinue any feature, course, content, or tool at any time without prior notice. We are not obligated to maintain any specific feature, content library size, or functionality indefinitely. Paid subscribers are purchasing access to the Platform as it exists at any given time, not to a frozen feature set.

4. Accounts

4.1 Registration. You must create an account to access personalised features. You agree to provide accurate, current information during registration.

4.2 One Person, One Account. Each account is for a single individual. Account sharing invalidates your adaptive learning data and violates these Terms. We may detect and terminate shared accounts.

4.3 Security. You are solely responsible for all activity under your account. Use a strong, unique password. Enable two-factor authentication when available. Notify us immediately at reach@aiquitylife.com if you suspect unauthorized access.

4.4 Minor Accounts. Accounts for users aged 13–17 are subject to restricted features (no public profile, no social interactions with adult users, limited data collection). Parents or guardians may request full access to their child's learning data and may delete the account at any time.

5. Subscription and Payment

5.1 Tiers. We offer multiple tiers:

• Free Tier — limited access to introductory content, basic playgrounds, and capped AI interactions. No payment required.
• Premium Tiers — full access to all learning paths, unlimited AI interactions, advanced analytics, priority features, and creator tools. Billed monthly or annually.

5.2 Billing. Premium subscriptions are billed in advance on a recurring basis (monthly or annual). By subscribing, you authorise us to charge your chosen payment method at each renewal.

5.3 Auto-Renewal. Subscriptions renew automatically unless cancelled before the renewal date. We send a reminder email 7 days before renewal.

5.4 Price Changes. We may change pricing with at least 30 days' written notice. Price changes apply from your next billing cycle after the notice period, not retroactively.

5.5 Taxes. Prices displayed are exclusive of applicable taxes (GST, VAT) unless stated otherwise. You are responsible for all taxes associated with your subscription.

5.6 Failed Payments. If a payment fails, we will retry over a grace period (see Cancellation & Refund Policy for exact timeline). If all retries fail, premium access is suspended and eventually cancelled. Your learning progress is preserved on the free tier — you simply lose access to premium features until payment resolves.

5.7 Payment Security. We do not store full payment card details. All payment processing is handled by PCI-DSS compliant third-party processors (Razorpay / Stripe). We store only tokenised references.

6. Intellectual Property

6.1 Our IP. All Learning Content, Platform design, code, AI models, curriculum architecture, interactive components, branding, and documentation are owned by or licensed to KalpaNest Technologies Private Limited. These are protected under the Indian Copyright Act 1957, the Information Technology Act 2000, and applicable international intellectual property treaties.

6.2 Your License to Use. We grant you a limited, non-exclusive, non-transferable, revocable license to access Learning Content for your personal educational purposes only. This license terminates when your account is closed or these Terms are violated.

6.3 Restrictions. You may NOT:

• Copy, reproduce, download, screenshot-farm, or record Learning Content for redistribution.
• Share, resell, sublicense, or commercially exploit any Platform content.
• Use automated tools (bots, scrapers, browser extensions) to bulk-extract content.
• Reverse-engineer, decompile, or attempt to extract source code, AI model weights, or proprietary algorithms.
• Remove, alter, or obscure any copyright, trademark, or attribution notices.
• Use Learning Content to train competing AI models or build competing products.

6.4 User Content License. You retain ownership of your User Content. By posting or sharing User Content on the Platform, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, perpetual license to use, display, reproduce, distribute, and adapt it for Platform operations (rendering your content, enabling collaboration features, caching, archiving, and improving the service). Deletion of User Content from your account removes it from active display but does not require us to purge cached copies, backups, derivative works, or content that has been shared with or relied upon by other users.

6.5 AI Output. Explanations and feedback generated by Juggernaut for you are provided for your personal learning use. You may reference them in your personal notes. You may not bulk-export, republish, or use AI outputs to create competing educational materials.

6.6 Feedback. If you submit suggestions, feature requests, or bug reports, you grant us an irrevocable, royalty-free license to use that feedback without obligation.

7. User Conduct

7.1 You agree to:

• Use the Platform honestly and in good faith for learning.
• Respect other users in any community, discussion, or collaborative feature.
• Report bugs, vulnerabilities, or content issues through proper channels.

7.2 You agree NOT to:

• Use the Platform to facilitate academic dishonesty (submitting AI explanations as your own work in external institutions, sharing exercise solutions publicly to enable cheating).
• Harass, bully, threaten, or discriminate against other users.
• Post or share illegal, obscene, defamatory, or harmful content.
• Impersonate another person or entity.
• Attempt to circumvent access controls, rate limits, or feature restrictions.
• Use the Platform for any illegal purpose or in violation of any applicable law.
• Interfere with Platform infrastructure, perform denial-of-service attacks, or exploit vulnerabilities.
• Create multiple accounts to abuse free tier limits or promotional offers.

7.3 Consequences. Violations may result in: warning, temporary suspension, permanent termination, content removal, or legal action — at our sole discretion based on severity.

8. Privacy and Data

8.1 Our collection, use, and protection of your personal data is governed by our separate Privacy Policy, which is incorporated into these Terms by reference.

8.2 Learning Data. We collect detailed learning interaction data (time on exercises, answer patterns, playground interactions, mastery progression). This data drives the adaptive engine. Without it, personalisation cannot function.

8.3 AI Conversations. Interactions with Juggernaut are stored to maintain conversation context and improve response quality. You can delete conversation history from your settings.

8.4 Anonymised Training. We may use anonymised, aggregated interaction patterns to improve our AI models and curriculum. No individual user can be identified from this data. You can opt out of anonymised training contributions in your privacy settings — this does not affect your access to the service.

9. Third-Party Services

9.1 The Platform may integrate with third-party services (code execution sandboxes, authentication providers, payment processors, analytics tools). Your use of these services is governed by their respective terms.

9.2 We are not responsible for the availability, accuracy, or practices of third-party services. If a third-party service becomes unavailable, affected Platform features may be temporarily limited.

9.3 We may display links to external resources. Clicking these links takes you outside our Platform. We do not endorse or control external content.

10. Disclaimers

10.1 AS-IS. The Platform is provided "as-is" and "as-available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Guarantee of Outcomes. We do not guarantee that using the Platform will result in specific learning outcomes, exam scores, career advancement, skill acquisition, or any measurable improvement. Results depend entirely on your effort, aptitude, prior knowledge, and application. No claims on our marketing materials constitute a performance guarantee.

10.3 Uptime. We do not guarantee uninterrupted or error-free access to the Platform. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to communicate scheduled maintenance in advance when reasonably practicable.

11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, KalpaNest Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform.

11.2 Our total aggregate liability for any claim arising from these Terms or your use of the Platform shall not exceed the lesser of: (a) the amount you actually paid to us in the 3 months immediately preceding the claim, or (b) ₹5,000. This cap applies regardless of the number of claims.

11.3 These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless KalpaNest Technologies Private Limited, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms.
• Your User Content.
• Your violation of any law or third-party rights.
• Your use of the Platform in a manner not authorised by these Terms.

13. Termination

13.1 By You. You may close your account at any time from Settings → Account → Delete Account. Active subscriptions must be cancelled separately before deletion.

13.2 By Us. We may suspend or terminate your account immediately if you breach these Terms, engage in fraud, or if required by law. For minor violations, we will attempt to provide notice and opportunity to cure before termination.

13.3 Effect of Termination.

• Access to premium features ceases immediately (termination for cause) or at billing period end (voluntary cancellation).
• Your learning progress data is retained for 14 days post-termination, during which you may request an export via Settings → Privacy → Download My Data.
• User Content you shared publicly may persist in cached, archived, or derivative form indefinitely (see Section 6.4).
• Provisions that by nature survive termination (IP, indemnification, limitation of liability, governing law) remain in effect.

14. Dispute Resolution

14.1 Informal Resolution First. Before filing any legal claim, you agree to contact us at reach@aiquitylife.com and attempt good-faith resolution for at least 30 days.

14.2 Governing Law. These Terms are governed by the laws of India.

14.3 Jurisdiction. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

14.4 No Class Actions. To the extent permitted by law, disputes shall be resolved on an individual basis. You waive any right to participate in class or representative actions.

15. Modifications to Terms

15.1 We may modify these Terms at any time. Material changes will be communicated via email or prominent Platform notification at least 15 days before taking effect.

15.2 Continued use of the Platform after the effective date of modified Terms constitutes acceptance. If you disagree with modifications, your sole remedy is to close your account before the effective date.

15.3 Non-material changes (typo corrections, formatting) take effect immediately upon posting.

16. Miscellaneous

16.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.

16.2 Entire Agreement. These Terms, together with our Privacy Policy and Cancellation Policy, constitute the entire agreement between you and us regarding the Platform.

16.3 No Waiver. Our failure to enforce any provision does not waive our right to enforce it later.

16.4 Assignment. You may not assign your rights under these Terms. We may assign our rights to an affiliate or successor entity with notice to you.

16.5 Force Majeure. We are not liable for failures or delays caused by circumstances beyond our reasonable control (natural disasters, pandemics, war, government action, internet outages, power failures).
